A certified copy of a document filed with the state for your business, such as your Articles of Organization or Incorporation, an amendment, or another filing, ordered from the state filing office in New York, California, Tennessee, Massachusetts, or Oregon. We email it to you when we receive it.
Who it is for
Any business entity in those states. You do not need to be a City Registered Agent client. Banks, courts, other states, and foreign authorities often ask for certified copies.
What we need from you
Your business's exact legal name, its state entity number if you have it, and which document you need (for example, "Articles of Organization" or "Certificate of Amendment filed March 2024").
Timeline
We usually request the copy within two business days after we have your payment and details. The state issues certified copies on its own schedule, which can include mail time.

Certified Copies Order Terms
1. The Service. City Registered Agent ("Agent") will request from the New York Department of State one certified copy of the document identified in this order, filed with the state for the business named in this order (the "Business"), and email a copy (PDF or scan) to the person placing this order ("Client") when Agent receives it. If Client needs the original paper certified copy, Agent will mail it on request; any postage or courier charge is billed at cost before mailing.
2. Fees. The fee is Agent's service fee of $20.00 plus the state fee ("State Fee") of $10.00 for one certified copy of one document, for a total of $30.00, paid in U.S. dollars when the order is placed. State Fees are set by the state, are passed through at cost, and may change. If the state charges more for the requested document (for example, a per-page charge for a long document, or a higher charge for a different type of document), Agent will tell Client the difference before ordering, and Client may pay it or cancel for a full refund. No sales tax is charged.
3. No Registered Agent Appointment. Client does not need to be a City Registered Agent client to place this order, and this order does not appoint Agent as the Business's registered agent or create a Client Agreement.
4. What Client Provides. Client will give Agent the Business's exact legal name, its state entity number if known, and a description of the document (for example, the Articles of Organization or a specific amendment and its filing date). Agent orders only from the information Client provides and is not responsible for a delay, or a copy of the wrong document, caused by inaccurate or incomplete information. If the state has no record of the requested document, Agent will tell Client, and refunds the State Fee if the state does.
5. Timeline. Agent will submit the request within a reasonable time, usually within two (2) business days, after it has payment and the information it needs. The state issues certified copies on its own schedule, which may include mail time; Agent does not control or guarantee state processing times.
6. Refunds. Before Agent submits the request, Client may cancel this order for a full refund by emailing [email protected]. Once Agent has submitted the request, the service fee is non-refundable, and the State Fee is non-refundable once paid to the state.
7. Limitation of Liability. To the fullest extent permitted by law, Agent's total liability for this order will not exceed the service fee Client paid for it, and Agent is not liable for indirect, incidental, special, consequential, or punitive damages, lost profits, penalties, or loss of good standing. This does not limit liability for Agent's gross negligence, willful misconduct, or fraud, or any liability that cannot be limited under applicable law.
8. Sanctions. Client represents that neither Client nor the Business or its owners or officers is on a U.S. or United Nations sanctions or restricted-party list or located in a comprehensively sanctioned country or region. Agent screens orders against those lists and may refuse, cancel, or block an order or payment, and make any report, as the law requires; no refund is made where the law prohibits one.
9. Language. This order, these Order Terms, and all communications are in English, and the English version controls. Any translation (by a browser or machine, by artificial intelligence including Andy, or by a person) is for convenience only, is at Client's own risk, and is not binding. Client represents that it reads and understands English or has used a qualified translator of Client's choosing.
10. Other Terms. The Terms of Use and Privacy Policy published at cityregisteredagent.com apply to this order, including Section 14 of the Terms of Use (informal resolution, arbitration, class-action and jury waiver, and New York law and venue). If the Business has a Client Agreement with Agent, it also applies to this order and controls if it conflicts with these Order Terms. Nothing in these Order Terms limits Client's right to contact a government agency.
11. Electronic Signature. Client agrees that typing its full name and checking the authorization box is Client's electronic signature, with the same effect as a handwritten signature under the federal ESIGN Act and New York's Electronic Signatures and Records Act.
