What we need from you

Your business's exact legal name, the state, its state entity number if you have it, the entity type, and your name, email, and phone.

Timeline

We usually request the certificate within two business days after we have your payment and details, and email it to you as soon as the state issues it.

Clear, separate fees

Our service fee is $15.00 in every state, plus the state's fee, passed through at cost and shown before you pay. No sales tax.

What the state certifies

Certificate of Good Standing Order Terms

1. The Service. City Registered Agent ("Agent") will request from the the state filing office an official Certificate of Good Standing for the business named in this order (the "Business") and email a copy to the person placing this order ("Client") when the state issues it.

2. Fees. The fee is Agent's service fee of $15.00 plus the state fee ("State Fee") of $0.00, for a total of $15.00, paid in U.S. dollars when the order is placed. State Fees are set by the state, are passed through at cost, and may change; if a State Fee increases before the request is submitted, Agent will tell Client and Client pays the difference before the request is made. No sales tax is charged.

3. No Registered Agent Appointment. Client does not need to be a City Registered Agent client to place this order, and this order does not appoint Agent as the Business's registered agent or create a Client Agreement.

4. What the State Certifies. The certificate states what the state's records show on the date it is issued. Agent does not control, and does not guarantee, the Business's status or what the state certifies. If the state shows the Business as suspended, forfeited, dissolved, or otherwise not in good standing, the state may issue a certificate showing that status or may decline to issue one; once Agent has submitted the request, the fees are still due.

5. What Client Provides. Client will give Agent the Business's exact legal name and, if known, its state entity number. Agent requests the certificate only from the information Client provides and is not responsible for a delay or a certificate for the wrong entity caused by inaccurate or incomplete information.

6. Timeline. Agent will submit the request within a reasonable time, usually within two (2) business days, after it has payment and the information it needs. The state issues the certificate on its own schedule; Agent does not control or guarantee state processing times.

7. Refunds. Before Agent submits the request, Client may cancel this order for a full refund by emailing [email protected]. Once Agent has submitted the request, the service fee is non-refundable, and the State Fee is non-refundable once paid to the state.

8. Limitation of Liability. To the fullest extent permitted by law, Agent's total liability for this order will not exceed the service fee Client paid for it, and Agent is not liable for indirect, incidental, special, consequential, or punitive damages, lost profits, penalties, or loss of good standing. This does not limit liability for Agent's gross negligence, willful misconduct, or fraud, or any liability that cannot be limited under applicable law.

9. Sanctions. Client represents that neither Client nor the Business or its owners or officers is on a U.S. or United Nations sanctions or restricted-party list or located in a comprehensively sanctioned country or region. Agent screens orders against those lists and may refuse, cancel, or block an order or payment, and make any report, as the law requires; no refund is made where the law prohibits one.

10. Language. This order, these Order Terms, and all communications are in English, and the English version controls. Any translation (by a browser or machine, by artificial intelligence including Andy, or by a person) is for convenience only, is at Client's own risk, and is not binding. Client represents that it reads and understands English or has used a qualified translator of Client's choosing.

11. Other Terms. The Terms of Use and Privacy Policy published at cityregisteredagent.com apply to this order, including Section 14 of the Terms of Use (informal resolution, arbitration, class-action and jury waiver, and New York law and venue). If the Business has a Client Agreement with Agent, it also applies to this order and controls if it conflicts with these Order Terms. Nothing in these Order Terms limits Client's right to contact a government agency.

12. Electronic Signature. Client agrees that typing its full name and checking the authorization box is Client's electronic signature, with the same effect as a handwritten signature under the federal ESIGN Act and New York's Electronic Signatures and Records Act.
